Terms of Use

1. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use sellperview. By creating an account, you confirm that:

• You are at least 18 years old
• You have the authority to act on behalf of any business entity you represent
• You are not prohibited from receiving services under applicable laws

2. Account Registration and Security

You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Marketplace Rules

For Advertisers:

• You must provide accurate descriptions of your advertising needs and content
• You are responsible for ensuring your ads comply with all applicable laws and regulations
• You must honor agreed-upon rates and payment terms
• You may not circumvent the platform to avoid fees

For Publishers:

• You must accurately represent your audience demographics and reach
• You must provide genuine evidence of ad performance
• You may not artificially inflate view counts or engagement metrics
• You must honor agreed-upon placement and display terms

4. Acceptable Use

You may not use sellperview for:

• Illegal activities or products prohibited by law
• Fraudulent, misleading, or predatory practices
• Transactions likely to result in chargebacks or disputes
• Activities restricted by Paystack's acceptable use policies
• Harassment, discrimination, or promotion of hatred
• Distribution of malware or phishing content
• Infringement of intellectual property rights

5. Content Guidelines

All advertisements and promotional content must:

• Not be deceptive, misleading, or contain false claims
• Not promote illegal products, services, or activities
• Not contain adult content without appropriate age restrictions
• Not include hate speech or discriminatory messaging
• Not infringe on third-party intellectual property rights
• Comply with relevant advertising standards and regulations

6. Evidence Verification Process

Publishers must submit evidence of completed work including:

• Video evidence showing the advertisement as displayed
• Metrics demonstrating reach and engagement
• Timestamp information verifying when the ad was displayed
• Any additional documentation requested by the advertiser or sellperview

Advertisers have 24 hours to dispute evidence before payment is released.

7. Payment Terms

Platform Fees:

• sellperview charges a platform fee of 10% on every ads done by a publisher. This fee is deducted at the time of transferring funds from a completed and verifed ads to the publisher wallet.
• Additional fees may apply for premium features or expedited services

Payment Processing:

• All payments are processed through Paystack or other designated payment processors
• Funds are held by the platform until work completion is verified
• Refunds may be processed for valid disputes according to our dispute resolution policy

8. Intellectual Property Rights

• You retain ownership of your content, but grant sellperview a non-exclusive, worldwide license to use it for platform operation
• sellperview owns all intellectual property rights related to the platform, including trademarks, logos, and software
• You may not use sellperview's intellectual property without prior written permission

9. Restricted & Banned Activities

Your use of sellperview must not:

• Violate any law or government regulation
• Breach any payment network (e.g., Visa, MasterCard) rules
• Involve any of the business types listed in Paystack's prohibited categories
• Attempt to reverse engineer or compromise the platform
• Use automated methods to access or use the platform without our permission
• Impersonate others or misrepresent your affiliation

10. Platform Rights

sellperview reserves the right to:

• Remove any listing that violates these terms
• Suspend or terminate your account without notice
• Share relevant information with law enforcement or affected third parties
• Charge back expenses, penalties, or fees arising from violations
• Modify platform features and services
• Set and update platform fees

11. Dispute Resolution

In case of disputes:

• Users should first attempt to resolve issues directly between themselves
• If unsuccessful, sellperview provides a dispute resolution process
• For payment disputes, evidence will be reviewed by our team
• sellperview's decision is final for disputes under [X amount]
• For larger disputes, arbitration will be conducted according to [specify arbitration rules]
• The prevailing party in any legal action may be entitled to recover reasonable attorney fees

12. Limitation of Liability

• sellperview is provided as is without warranties of any kind
• We are not liable for content posted by users
• Our total liability shall not exceed the amount paid by you to sellperview in the 6 months preceding any claim
• We are not liable for indirect, consequential, or special damages
• Force majeure events relieve us from performance obligations

13. Indemnification

You agree to indemnify, defend, and hold harmless sellperview and its affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your content or activities on the platform
• Your interactions with other users

14. Account Termination

Accounts may be terminated:

• By you at any time by contacting [email protected]
• By us for violations of these Terms
• For inactivity exceeding 12 months
• For fraudulent activity or misrepresentation

Upon termination:

• Pending transactions will be completed or canceled at our discretion
• You will no longer have access to your account information
• Sections of these Terms that by their nature should survive will remain in effect

15. Data Processing Agreement

By using our services, you agree that you are the Data Controller, and third-party services like Paystack are Data Processors. You are responsible for ensuring compliance with all applicable data protection laws regarding the personal data you collect and submit.

16. Modifications

We may update these terms at any time. We will provide notice of material changes through:

• Email notification
• A notice on our platform
• The updated "Effective Date" at the top of these Terms

Continued use after updates constitutes acceptance of the revised terms.

17. Governing Law
